Terms of Service

1. Introduction

Welcome to Senbee. By using our services, you agree to these Terms of Service. Please read them carefully.

1.1 Overview

Senbee provides facility management solutions that streamline workflows by integrating data from internal and external sources, offering a single point of control and service.

1.2 Acceptance

By accessing or using the services, you agree to comply with and be bound by these terms. If you do not agree, do not use the services.

1.3 Modifications to Terms

We may modify these terms at any time. We will notify users of material changes by email or in-product notice. Continued use of the services after changes takes effect constitutes acceptance.

2. Definitions

Company means Senbee A/S, including its affiliates and subsidiaries.

Services means the facility management and workflow optimization services provided by Senbee.

User means any individual or entity using the services.

3. Eligibility

3.1 Age Requirement

Users must be at least 18 years old or the age of majority in their jurisdiction.

3.2 Business Use

The services are intended for use by businesses and organizations. You represent and warrant that you use the services for business purposes.

3.3 Compliance Restrictions

You will not use the services in violation of applicable export, sanctions, or trade compliance laws, or in jurisdictions where such use is prohibited.

4. Account Registration

4.1 Registration

To access the services, you must create an account with accurate, complete information and keep it current.

4.2 Security

You are responsible for safeguarding your credentials and for all activities under your account. Notify us promptly of any unauthorized use.

5. Services

5.1 Description

Senbee provides tools to enhance facility management, including data analytics, workflow automation, and centralized management.

5.2 Availability

We strive for 24/7 availability, but uninterrupted access is not guaranteed. We are not liable for downtime or interruptions.

5.3 Support

Support is available Monday to Thursday, 08.00 to 16.00 CET, and Friday, 08.00 to 13.00 CET via email and chat. For urgent issues, contact support@senbee.com.

5.4 Service Changes

We may modify, suspend, or discontinue features or functionality. Where feasible, we will provide reasonable notice.

6. User Obligations

6.1 Compliance

You will comply with all applicable laws and regulations when using the services.

6.2 Acceptable Use

You will not misuse the services, including attempting unauthorized access, distributing harmful code, or infringing intellectual property rights.

7. Fees and Payment

7.1 Pricing

Subscription fees apply according to the selected plan. Current pricing is available on our website.

7.2 Payment Terms

Fees are due at the start of each billing cycle. Accepted payment methods include credit card and bank transfer. By providing payment details, you authorize recurring charges for all due amounts.

7.3 Late Payments

Late amounts may accrue interest at 1.5 percent per month or the maximum rate allowed by law, whichever is lower. We may suspend access for overdue accounts.

8. Data and Privacy

8.1 Data Collection

We collect data necessary to provide and improve the services, including account information, usage data, and data provided through integrations.

8.2 Data Protection

We implement industry standard security measures to protect your information. For details, see our Privacy Policy.

8.3 Third-Party Access

We may share data with third-party service providers that help deliver the services. These providers are bound by confidentiality obligations and may not use the data for other purposes.

8.4 Third-Party Integrations

Some features rely on external systems or integrations. Senbee is not liable for interruptions, inaccuracies, or errors caused by third-party systems or data sources.

9. Intellectual Property

9.1 Ownership

Senbee retains all rights, title, and interest in the services, software, trademarks, and related content.

9.2 User Content

By submitting content through the services, you grant Senbee a non-exclusive, royalty free license to use, reproduce, and modify that content solely to provide the services.

10. Limitation of Liability

10.1 Disclaimer

The services are provided on an as is and as available basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non infringement.

10.2 Liability Cap

Senbee's total liability arising out of or related to the services will not exceed the amounts paid by you for the services in the twelve months preceding the event giving rise to liability.

10.3 Exclusions

To the extent permitted by law, Senbee will not be liable for lost profits, revenues, goodwill, or indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You will indemnify and hold harmless Senbee and its affiliates from claims, damages, liabilities, costs, and expenses arising from your use of the services or violation of these terms.

12. Termination

12.1 Termination Rights

Either party may terminate this agreement with written notice, unless otherwise stipulated in a separate written agreement. We may suspend or terminate immediately for violations of these terms.

12.2 Effects of Termination

Upon termination, your account will be deactivated and access will cease. We will retain your data for 30 days to allow retrieval, unless otherwise agreed in a separate contract, after which it will be deleted.

12.3 Survival

Sections that by their nature should survive termination will survive, including fees and payment, data and privacy, intellectual property, limitation of liability, indemnification, governing law, dispute resolution, and miscellaneous.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These terms are governed by the laws of Denmark, without regard to conflict of laws principles.

13.2 Dispute Resolution

Disputes will be resolved by binding arbitration in Copenhagen, Denmark, under the rules of the Danish Institute of Arbitration. If arbitration is not agreed by both parties, disputes may be brought before the courts in Denmark.

13.3 Venue

For any permitted court proceedings, the courts of Denmark, with venue in Copenhagen, have exclusive jurisdiction, and the parties consent to personal jurisdiction there.

14. Miscellaneous

14.1 Entire Agreement

These terms constitute the entire agreement between you and Senbee regarding the services and supersede prior agreements.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full force and effect.

14.3 Waiver

Failure to enforce any right or provision is not a waiver of that right or provision.

14.4 Force Majeure

Senbee is not liable for delay or failure to perform due to causes beyond its reasonable control, including natural disasters, acts of government, power or internet outages, labor disputes, or other events of force majeure.

14.5 Assignment

You may not assign or transfer these terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of assets.

15. Communications

15.1 Service Communications

By creating an account, you agree that Senbee may send administrative or service related messages that are necessary to operate your account or the services. These are not marketing and cannot be opted out of while you use the services.

15.2 Marketing Communications

Marketing emails, newsletters, and promotional materials are sent only with your consent. You can withdraw consent at any time by using the unsubscribe link in such communications.

15.3 Notices

We may provide notices by email, in product notification, or by posting to our website. Notices are deemed received when sent.
